Draft for legal review. Version 2026-10-draft-1, effective 19 October 2026. These terms become binding only once counsel has approved them; members will be asked to confirm the approved version.
1. Who we are and what these terms cover
ProvenReel is operated by Start Learn LLC, Limited liability company (Wyoming, USA), 3402, 1603 Capitol Avenue, Suite 413A, Cheyenne, WY 82001, United States of America ("ProvenReel", "we"). These terms govern the use of ProvenReel by a creator ("you"). The marketplace rules and content standards, the acceptable use policy and the privacy policy form part of these terms.
2. Your account and profile
2.1 You must be at least 18 and provide accurate information about yourself, your channels and your audience. Self-declared social identities and verification checks are shown with their status; you must not claim a verification you do not have.
2.2 Your profile becomes discoverable by brands only after review and only if you choose to be discoverable. You can pause discoverability ("just exploring") at any time.
2.3 You may act through an agent or talent manager only through the mandate feature, which records exactly which powers you delegate (negotiate, sign, upload, view money) and lets you revoke them.
3. Applications, offers and agreements
3.1 Applying to a brief is not a contract. An offer states the deliverables, fee, currency, deadlines, revision allowance, usage rights (channels, territory, duration, organic or paid use, exclusivity) and disclosure requirements. Only what is written in the accepted offer is binding.
3.2 Accepting an offer creates an agreement between you and the brand. ProvenReel is not a party to it unless the agreement states otherwise. Amendments need acceptance by both parties. Cancellation stages, kill fees and review windows follow the collaboration policy version shown on the agreement (to be decided, D08).
3.3 You must deliver what the agreement says, on time, and in your own voice. If you cannot, say so through the platform as early as possible; the case process exists for that.
4. Your content, your rights
4.1 You keep ownership of the content you make unless the agreement transfers it. You grant the brand exactly the licence written in the agreement, and nothing more. After the licence period, further use requires a new agreement.
4.2 You confirm that your content is your own work, that it does not infringe third-party rights (music, footage, trademarks, people appearing in it), and that it complies with the marketplace rules — including the human-content policy: no synthetic likeness or voice presented as real, no fabricated product experience.
4.3 Disclosure: you are responsible for including the advertising disclosures required where your audience is (for example "ad", "sponsored", "paid partnership"), in a way that is visible before the content is consumed.
4.4 You grant ProvenReel a limited licence to host, display and process your profile and content within the platform for the purpose of running it (showing it to brands you interact with, scanning uploads, generating previews).
5. Fees, earnings and payouts
5.1 No commission or fee is charged and no payout is made until the commercial terms are published and the live pricing policy is enabled. When they are, the fee version applying to each agreement is shown before you accept it.
5.2 Payouts are made through the payment provider (Stripe Connect, when enabled) to the payout account you onboard; the provider may require identity and bank verification which ProvenReel does not store. Amounts become payable when the obligation is completed and the brand's funding is confirmed, and are released per the timing on the agreement.
5.3 If a brand obtains a refund or wins a dispute after you were paid, the recovery rules on the agreement apply; we will always show you the amount and the reason.
5.4 You are responsible for your own tax status, declarations and invoices unless the platform generates them on your behalf under a published self-billing arrangement (to be confirmed, D07). Reporting obligations such as DAC7 are to be assessed per market (D07).
6. Conduct, reviews and safety
6.1 The marketplace rules apply to messages, deliverables and public profiles. Reviews are double-blind and immutable; attempts to manipulate reviews, engagement or attribution (self-referrals, coupon leakage, fake engagement) lead to sanctions.
6.2 You can report abuse confidentially, block a counterpart and appeal any sanction; appeals are decided by a different operator.
7. Data protection
Our privacy policy explains what we process and your rights, including export and deletion from your settings. Brands see what you share in a collaboration and your public profile; private notes and other brands' data are never shown to them.
8. Availability and changes
During the pilot the platform is provided without an availability commitment. We give reasonable notice of material changes and ask you to accept a new version of these terms before continuing to use paid features.
9. Warranties and liability
The platform is provided "as is" during the pilot. Limitation of liability — to be drafted with counsel. Nothing in these terms limits liability that cannot be limited by law.
10. Term and termination
You may close your account at any time from your settings; your personal data is anonymised and records needed for existing agreements and financial compliance are kept as described in the privacy policy. We may suspend or terminate for material breach, fraud, unlawful content or security abuse, with a stated reason and a route to appeal.
11. Governing law and disputes
Governing law: [Governing law — to be confirmed by the founder]. Venue: [Venue — to be confirmed by the founder]. Consumers in the EU/EEA keep the protection of mandatory rules of their country of residence.
